API Terms of Use

1. API Access

Access to the FilingIQ Application Programming Interface ("API") requires an authenticated FilingIQ account. API keys and access credentials are personal to the account holder and are non-transferable. You are responsible for maintaining the confidentiality and security of your API credentials.

If you believe your API credentials have been compromised, you must notify FilingIQ immediately at support@filingiq.io and revoke the affected credentials.

2. Rate Limits

FilingIQ reserves the right to impose, adjust, and enforce rate limits on API access at any time. Rate limits are in place to ensure fair usage and system stability for all users. Current rate limits are communicated through:

  • The API documentation and developer portal.
  • HTTP response headers included with API responses (e.g., X-RateLimit-Limit, X-RateLimit-Remaining).

Exceeding rate limits may result in temporary throttling, request rejection, or, in cases of persistent abuse, suspension of API access.

3. Authentication

All API requests must include valid authentication credentials. Unauthenticated requests will be rejected. FilingIQ supports API key-based authentication, and additional authentication methods may be introduced in the future.

You must not share, publish, or embed API keys in client-side code, public repositories, or any location accessible to unauthorized third parties.

4. Permitted Use

The FilingIQ API is provided for the following permitted purposes:

  • Personal research and analysis of SEC filing data.
  • Portfolio monitoring and watchlist management.
  • Integration with personal tools, dashboards, and applications for your own use.
  • Academic or educational research purposes.

5. Prohibited Use

When using the FilingIQ API, you agree not to:

  • Redistribute data to third parties. You may not share, publish, syndicate, or otherwise make FilingIQ data available to any third party without prior written consent.
  • Build competing services. You may not use FilingIQ data to create, operate, or contribute to a product or service that competes with FilingIQ.
  • Resell or sublicense access. You may not sell, lease, license, or otherwise commercially exploit your API access or the data obtained through it.
  • Overload systems. You may not send excessive automated requests designed to degrade, disrupt, or overload FilingIQ systems, whether intentionally or through negligence.
  • Circumvent rate limits. You may not attempt to bypass or circumvent rate limits through multiple accounts, IP rotation, or other technical means.

6. Data Attribution

When displaying, presenting, or referencing data obtained through the FilingIQ API, you must provide clear attribution to FilingIQ as the data source. Attribution should be visible and proximate to the displayed data. Example attribution:

"Data provided by FilingIQ (filingiq.io)"

7. Service Availability

FilingIQ provides the API on a best-effort basis. We do not guarantee any specific uptime percentage or service level agreement (SLA). The API may be subject to planned maintenance, unplanned outages, or performance degradation.

FilingIQ shall not be liable for any damages or losses resulting from API unavailability, latency, or errors in API responses.

8. Revocation

FilingIQ reserves the right to revoke, suspend, or restrict your API access at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these API Terms of Use.
  • Violation of the general Terms of Service.
  • Excessive or abusive usage patterns.
  • Security concerns related to your account or credentials.

9. Changes

These API Terms of Use, as well as API endpoints, response formats, and rate limits, may change at any time. FilingIQ will make reasonable efforts to communicate breaking changes in advance when possible, through:

  • Updates to the API documentation.
  • Email notifications to registered API users.
  • Deprecation notices in API response headers.

Your continued use of the API after changes take effect constitutes acceptance of the revised terms.
