Terms of Service

1. Scope and Contracting Party

These Terms of Service ("Terms") govern your use of the FilingIQ platform, website, API, and any associated services (collectively, the "Service"). Your contracting party is Sprint Zero UG (haftungsbeschränkt), Wienburgstraße 23, 48147 Münster, Germany ("FilingIQ," "we," "us," or "our"). FilingIQ is a brand of Sprint Zero UG (haftungsbeschränkt).

These Terms are also available in German at filingiq.io/de/agb. If you are a consumer with your habitual residence in Germany, the German version governs; in all other cases the English version governs. Changes to these Terms follow Section 12. Access through our API is additionally governed by our API Terms of Use.

2. Nature of Service

FilingIQ provides SEC filing data analysis, insider trade scoring, institutional flow analysis, and related research tools. The Service aggregates and analyzes publicly available data from the U.S. Securities and Exchange Commission ("SEC") EDGAR database and from the financial disclosures of Members of the U.S. House of Representatives and Senate, together with market price data from third-party providers, and presents it through proprietary scoring algorithms and analytical interfaces.

FilingIQ is not a financial advisor, broker-dealer, investment advisor, trading platform, or fiduciary. We do not provide personalized investment advice or recommendations. The Service is designed solely as a research and informational tool.

3. No Financial Advice

All scores, ratings, indicators, and data presented on the Service are statistical interpretations of publicly available filings and market data. They are provided for informational and research purposes only and do not constitute financial advice, investment recommendations, or solicitations to buy, sell, or hold any security.

You should not rely solely on any information provided by FilingIQ when making investment decisions. Always consult with a qualified, licensed financial advisor before making any investment decision.

4. User Accounts

To access certain features of the Service, you may be required to create an account. You must be at least 18 years old to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain and promptly update your account information to keep it accurate, current, and complete.
• Maintain the security and confidentiality of your login credentials.
• Accept responsibility for all activities that occur under your account, to the extent you are responsible for them.
• Notify FilingIQ immediately of any unauthorized use of your account.

We are not obliged to accept a registration. You may delete your account at any time in the account settings.

We may terminate a free account with at least 30 days' notice by email. We may terminate a paid subscription only at the end of the current billing period, with at least 30 days' notice. Either party's right to terminate without notice for good cause remains unaffected. Good cause for us exists in particular if you materially breach these Terms, for example Section 7, if the law requires it, or if it is necessary to protect the security of the Service. Where reasonable, we will first warn you and give you an opportunity to remedy the breach. For the same reasons, we may temporarily suspend access instead of terminating.

5. Subscriptions and Payments

FilingIQ may offer subscription-based access to premium features in the future. When subscription billing is implemented, these Terms will be updated to include detailed provisions regarding pricing, billing cycles, cancellations, refunds, and payment processing. Until then the Service is free of charge. A paid plan only starts if you order it explicitly. Sections 4 and 11 govern changes to the Service and termination.

6. Intellectual Property

All content, scoring algorithms, rating methodologies, data compilations, analysis, software, graphics, text, and other materials available through the Service (collectively, "Content") are the intellectual property of Sprint Zero UG (haftungsbeschränkt) or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your own research and investment decisions, including in your professional or business activity, for the duration of your contract. Making Content available to third parties requires a separate agreement. This license does not include the right to:

• Reproduce, distribute, or publicly display any Content without prior written consent, except through the sharing features described below.
• Modify, create derivative works from, or reverse engineer any part of the Service, except where the law permits it.
• Make Content available to third parties, for example by reselling it, publishing it in your own product, or feeding it into a service you provide to others, without a separate licensing agreement.

You may share Content through the Service's built-in sharing features (share cards and links), including on social media, as long as the FilingIQ attribution stays visible.

7. Acceptable Use

When using the Service, you agree not to:

• Scrape, crawl, spider, or use any automated means to access or extract data from the Service without prior authorization.
• Reverse engineer, decompile, or attempt to discover the source code or underlying algorithms of the scoring models, except where the law permits it.
• Redistribute or resell data obtained from the Service, or make it available to third parties, without explicit written permission, except through the sharing features described in Section 6.
• Use automated access methods (bots, scripts, or other tools) to interact with the Service without API authorization.
• Misrepresent FilingIQ data, scores, or ratings as your own work or that of another entity.
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems.
• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.

8. Data Accuracy

FilingIQ provides data analysis based on publicly available filings (SEC EDGAR and the disclosures of the U.S. House and Senate) and on market price data from third-party providers. While we make every reasonable effort to ensure accuracy, we do not guarantee the completeness, correctness, or timeliness of any information presented through the Service.

Filings and market data may contain errors, omissions, or delays. Users should independently verify any information obtained from the Service before relying upon it for any purpose, including investment decisions.

We deliver alerts by email, in the web application and through integrations you connect, such as Telegram or webhooks. Delivery through these channels depends on services outside our control and may be delayed or fail; we do not guarantee it. You are responsible for securing the endpoints you connect, including your webhook endpoint.

9. Limitation of Liability

9.1 We are liable without limitation for damage caused intentionally or through gross negligence, for injury to life, body or health, under the German Product Liability Act (Produkthaftungsgesetz), and where we have given a guarantee.

9.2 In cases of slight negligence, we are liable only for the breach of an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance you may regularly rely (a material contractual obligation). In that case our liability is limited to the damage that was foreseeable and typical for this type of contract when the contract was concluded.

9.3 Where you use the Service free of charge, we are liable only for intent and gross negligence, without prejudice to our liability for injury to life, body or health and under the Product Liability Act.

9.4 Beyond Sections 9.1 to 9.3, our liability is excluded. These limitations also apply to the personal liability of our managing directors, employees and agents.

9.5 The Service provides information, not investment advice (Section 3). Decisions you take on the basis of that information remain your own.

10. Indemnification

If a third party asserts claims against us because you culpably breached these Terms or applicable law, or because of content you provided, you shall indemnify us against those claims, including the reasonable costs of our legal defense. This does not apply if you are not responsible for the breach.

11. Beta Program

The Service is currently offered as a beta. While the beta designation remains in effect, the following additional terms apply:

• The Service may contain bugs, incomplete features, or other issues. You acknowledge that beta-stage software is not suitable for any decision with significant financial, legal, or operational consequences, and you agree to use the Service with that in mind.
• Feedback you submit through in-product feedback tools, email, chat, or other channels may be used to improve the Service, fix defects, prioritize product direction, and, in aggregated or de-identified form, inform public communications about the development of FilingIQ. We will not quote you by name or attribute specific feedback to you without your prior consent.
• We may change, pause, or remove Service features during the beta period. We may end the beta program with at least 30 days' notice.
• The beta is provided without charge unless explicitly stated otherwise. When the beta ends, your account continues on the free plan unless you choose a paid plan. We will tell you the prices of paid plans with reasonable notice before any charges apply.

12. Changes to These Terms

12.1 We may amend these Terms for a valid reason, in particular a change in the law or in case law, a change in the technical environment, or new features of the Service. We will send you the proposed changes in text form, for example by email, at least six weeks before they are to take effect.

12.2 Changes take effect only if you accept them, for example by confirming them in the Service. If you do not accept them, the current Terms continue to apply to your existing contract. In that case we may terminate a free account with 30 days' notice and a paid subscription at the end of its current billing period.

12.3 Changes that are exclusively to your advantage, or that we are obliged to make by law or by an order of a court or authority, take effect when we notify you of them.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, this choice of law applies only insofar as it does not deprive you of the protection of the mandatory provisions of the law of the state in which you have your habitual residence.

If you are a merchant (Kaufmann), a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Münster, Germany. Otherwise the statutory rules on jurisdiction apply.
