Terms of Service

1. Acceptance of Terms

By accessing or using the FilingIQ platform, website, API, or any associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and FilingIQ GbR ("FilingIQ," "we," "us," or "our").

We reserve the right to update these Terms at any time. Your continued use of the Service following any changes constitutes acceptance of the revised Terms.

2. Nature of Service

FilingIQ provides SEC filing data analysis, insider trade scoring, institutional flow analysis, and related research tools. The Service aggregates and analyzes publicly available data from the U.S. Securities and Exchange Commission ("SEC") EDGAR database and presents it through proprietary scoring algorithms and analytical interfaces.

FilingIQ is not a financial advisor, broker-dealer, investment advisor, trading platform, or fiduciary. We do not provide personalized investment advice or recommendations. The Service is designed solely as a research and informational tool.

3. No Financial Advice

All scores, ratings, indicators, and data presented on the Service are statistical interpretations of publicly available SEC filing data. They are provided for informational and research purposes only and do not constitute financial advice, investment recommendations, or solicitations to buy, sell, or hold any security.

You should not rely solely on any information provided by FilingIQ when making investment decisions. Always consult with a qualified, licensed financial advisor before making any investment decision.

4. User Accounts

To access certain features of the Service, you may be required to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain and promptly update your account information to keep it accurate, current, and complete.
• Maintain the security and confidentiality of your login credentials.
• Accept responsibility for all activities that occur under your account.
• Notify FilingIQ immediately of any unauthorized use of your account.

FilingIQ reserves the right to suspend or terminate your account at any time, with or without cause, and with or without notice. We may also refuse to provide the Service to anyone for any reason at any time.

5. Subscriptions and Payments

FilingIQ may offer subscription-based access to premium features in the future. When subscription billing is implemented, these Terms will be updated to include detailed provisions regarding pricing, billing cycles, cancellations, refunds, and payment processing. Until such time, access to the Service is provided at the sole discretion of FilingIQ.

6. Intellectual Property

All content, scoring algorithms, rating methodologies, data compilations, analysis, software, graphics, text, and other materials available through the Service (collectively, "Content") are the intellectual property of FilingIQ GbR or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial research purposes. This license does not include the right to:

• Reproduce, distribute, or publicly display any Content without prior written consent.
• Modify, create derivative works from, or reverse engineer any part of the Service.
• Use any Content for commercial purposes without a separate licensing agreement.

7. Acceptable Use

When using the Service, you agree not to:

• Scrape, crawl, spider, or use any automated means to access or extract data from the Service without prior authorization.
• Reverse engineer, decompile, or attempt to discover the source code or underlying algorithms of the scoring models.
• Redistribute, resell, or commercially exploit any data obtained from the Service without explicit written permission.
• Use automated access methods (bots, scripts, or other tools) to interact with the Service without API authorization.
• Misrepresent FilingIQ data, scores, or ratings as your own work or that of another entity.
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems.
• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.

8. Data Accuracy

FilingIQ provides data analysis based on publicly available SEC EDGAR filings. While we make every reasonable effort to ensure accuracy, we do not guarantee the completeness, correctness, or timeliness of any information presented through the Service.

SEC filing data may contain errors, omissions, or delays. Users should independently verify any information obtained from the Service before relying upon it for any purpose, including investment decisions.

9. Limitation of Liability

To the maximum extent permitted by applicable law, FilingIQ GbR and its founders, employees, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses, resulting from:

• Your use of or inability to use the Service.
• Any investment decisions made in reliance on data, scores, or information provided by the Service.
• Unauthorized access to or alteration of your transmissions or data.
• Any errors, inaccuracies, or omissions in the data or content provided.
• Any interruption or cessation of the Service.

In no event shall FilingIQ's total liability to you for all claims arising from or relating to the Service exceed the total amount of fees paid by you to FilingIQ in the twelve (12) months immediately preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless FilingIQ GbR, its founders, employees, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your access to or use of the Service.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Your violation of any third-party rights.
• Any investment decisions you make based on information obtained through the Service.

11. Modifications to Terms

FilingIQ reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last updated" date. In certain circumstances, we may also notify you via email.

Your continued use of the Service after any modifications indicates your acceptance of the updated Terms. If you do not agree with the modified Terms, you must discontinue your use of the Service.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Munster, Germany.
